STATE FRANCHISE AGREEMENT

This State Franchise Agreement ("Agreement") is executed on ___ / ___ / ______ between:

The Company and the State Franchise shall collectively be referred to as the "Parties".

1. Appointment

The Company hereby appoints the Second Party as the Authorized State Franchise for the approved State.

The appointment is non-transferable and shall remain subject to all the terms, conditions and future policies issued by GCC Education Academy.

2. Franchise Fee & Security Deposit

The State Franchise shall pay a total investment of ₹50,000 (Rupees Fifty Thousand Only) as follows:

Security Deposit Conditions

• All Agreement obligations must be completed.
• No outstanding dues should remain.
• No fraud or policy violation should be found.
• Company property, IDs and confidential information must be returned.
• The Agreement must be legally closed.
• GCC Education reserves the right to deduct pending dues or damages before refund.

3. Territory Rights

The State Franchise shall receive exclusive operational rights within the allotted State.

• Operations outside the allotted State are prohibited without written permission.
• The Company reserves the right to modify territorial boundaries whenever necessary.
• Exclusive rights shall continue only while the Franchise remains active and compliant.

4. Scope of Work

The State Franchise shall be responsible for:

• Developing GCC Education across the allotted State.
• Appointing and supporting District Franchises.
• Conducting State-level marketing campaigns.
• Organizing seminars, workshops and awareness programs.
• Supporting admissions and business expansion.
• Ensuring policy compliance across the State.
• Submitting periodic performance reports to GCC Education.

5. State Managed BDO Model

The State Franchise may appoint Business Development Officers (BDOs) as per GCC Education policy.

• Every BDO must be registered with GCC Education.
• Every BDO must receive official approval before commencing work.
• The State Franchise shall remain responsible for the conduct and performance of all appointed BDOs.
• GCC Education reserves the right to reject or cancel any BDO appointment.

6. Revenue Sharing (State Managed BDO)

Where the State Franchise appoints its own Business Development Officers (BDOs), the Center Franchise Fee of ₹5,000 shall be distributed as follows:

The State Franchise shall independently decide how its ₹2,500 Share is utilized for:

• BDO Commission
• State Office Expenses
• Marketing & Advertisement
• Business Promotion
• Staff Salary
• Training Programs
• Business Development Activities

7. District Activation Bonus

The ₹500 District Franchise Hold Amount shall initially remain with GCC Education Academy.

The amount shall be released only after successful completion of all mandatory activation requirements:

• Franchise Fee Verification
• Online Registration Completion
• KYC Verification
• Franchise Agreement Completion
• Center Activation by GCC Education
• Compliance with Company Policies

8. Online Registration Policy

All Center Franchises shall be registered only through the Official GCC Education Online Portal.

• Offline registrations shall not be accepted.
• Every Center must complete online KYC.
• All admissions shall be recorded through the official portal.
• Manual admissions may be rejected by the Company.
• The Company may suspend any Center violating the online registration policy.

9. Branding & Marketing

The State Franchise may promote GCC Education only through Company-approved branding material.

• Only official GCC Education Logo shall be used.
• No modification of certificates, website, software or study material is permitted.
• No misleading advertisements shall be published.
• Digital marketing shall follow Company branding guidelines.
• Social Media promotions must maintain the Company's professional image.

10. KYC & Compliance

The State Franchise shall ensure complete compliance with all GCC Education policies.

• Proper KYC of all Centers.
• Verification of District Franchise documents.
• Verification of BDO identity.
• Compliance with Company Rules & Regulations.
• Maintenance of proper business records.
• Immediate reporting of suspicious or fraudulent activities.
• Timely submission of reports whenever required by GCC Education.

11. Prohibited Activities

The State Franchise shall strictly comply with all GCC Education policies and shall not engage in any activity that may harm the reputation or business of GCC Education Academy.

• Collect any unauthorized fees from students or franchise partners.
• Modify or change the official franchise fee without written approval.
• Issue fake receipts, certificates or official documents.
• Use the GCC Education name, logo or brand without authorization.
• Submit fake admissions, student records or reports.
• Appoint unauthorized persons as District Partners or BDOs.
• Provide false information or forged documents.
• Misuse the Online Portal or Software.
• Share confidential login credentials with any third party.
• Engage in any fraudulent, illegal or unethical activities.

12. Confidentiality

The State Franchise agrees to maintain complete confidentiality of all business information received from GCC Education Academy.

• Center & Franchise Records
• Commission Structure
• Business Development Plans
• Software Login Credentials
• Internal Policies & Circulars
• Marketing Strategies
• Financial Information

The State Franchise shall not disclose, copy, sell or share any confidential information without prior written permission from GCC Education Academy.

13. Intellectual Property

The following shall remain the exclusive intellectual property of GCC Education Academy:

• GCC Education Academy Name
• Official Logo
• Website & Mobile Applications
• Software & Online Portal
• Study Materials
• Training Modules
• Certificates & Marksheet Designs
• Trademarks & Branding Materials
• Digital Content

14. Performance

The State Franchise shall actively promote and expand GCC Education Academy throughout the allotted State.

Performance shall be evaluated periodically based on:

• Growth of District Franchises
• Center Development
• Student Admissions
• Business Expansion
• Marketing Activities
• Policy Compliance
• Support to District Partners & Centers

Failure to maintain satisfactory performance or prolonged inactivity may result in warning, suspension or termination of the State Franchise.

15. Suspension & Termination

GCC Education Academy reserves the right to suspend or terminate this Agreement without prior notice in the following situations:

• Fraud or Misrepresentation
• Submission of Fake Admissions
• Submission of Fake Documents
• Unauthorized Fee Collection
• Misuse of GCC Education Brand
• Criminal Activities
• Violation of Company Policies
• Breach of this Agreement
• Any activity causing financial or reputational loss to GCC Education Academy

16. Renewal

The State Franchise Agreement shall be renewable subject to the performance and compliance of the State Franchise.

• Satisfactory Business Performance.
• Compliance with GCC Education Policies.
• No Pending Legal or Financial Disputes.
• Submission of all required reports.
• Payment of applicable Renewal Charges (if introduced).

17. Independent Business Relationship

The State Franchise shall operate as an independent business entity. Nothing contained in this Agreement shall be construed as creating an Employer-Employee relationship, Partnership, Joint Venture or Agency between GCC Education Academy and the State Franchise.

• The State Franchise shall bear its own operational expenses.
• The State Franchise shall be responsible for its employees and staff.
• The Company shall not be liable for any personal or business liabilities of the State Franchise.

18. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the Republic of India.

• All disputes shall first be resolved through mutual discussion.
• If unresolved, the matter shall be referred to Arbitration or the Competent Court.
• The Courts situated at Raipur, Chhattisgarh shall have exclusive jurisdiction.

19. Company's Reserved Rights

GCC Education Academy reserves the absolute right to:

• Revise or update Company Policies.
• Modify Commission Structures.
• Change Business Models.
• Update Operational Procedures.
• Launch New Products & Services.
• Suspend or Cancel any Franchise ID.
• Reject any Franchise Application.
• Issue Official Circulars from time to time.

20. Declaration

The State Franchise hereby declares that:

• All information submitted is true, complete and correct.
• All supporting documents are genuine.
• The applicant has carefully read and understood this Agreement.
• The applicant agrees to comply with all present and future policies of GCC Education Academy.
• The applicant accepts that violation of Company Policies may result in suspension or cancellation of the Franchise.
